These Terms and Conditions (“Terms”) govern all web design, web development, SEO, and digital marketing services (“Services”) provided by Neoeffectz Integrated Solutions (“Neoeffectz,” “we,” “us,” “our”) to any client (“Client,” “you”) who engages us for a project. By making a deposit payment or signing off on a proposal, the Client agrees to be bound by these Terms.
1. Scope of Work
1.1. All projects are governed by a written proposal, quote, or scope document (“Scope”) shared with the Client before work begins. 1.2. Any request outside the agreed Scope (additional pages, features, redesigns, extra revisions beyond what’s included, etc.) will be treated as Additional Work and billed separately, with a new quote provided before work continues. 1.3. Neoeffectz reserves the right to decline a project or terminate an engagement if the Scope changes significantly without a corresponding adjustment in fees.
2. Payment Terms
2.1. Deposit: A non-refundable deposit of 60% of the total project fee is required before any work commences. This covers planning, design, and development resources committed to the project. 2.2. Balance Payment: The remaining 40% is due upon completion of the project, before final handover. Handover includes, but is not limited to: website launch/go-live, transfer of login credentials, source files, or domain/hosting access. 2.3. Neoeffectz will not push a completed website live, transfer ownership credentials, or release final files until the balance is paid in full. 2.4. Late Payment: Balances unpaid for more than 14 days after project completion attract a 5% late fee per additional 14-day period, and the completed work may be taken offline or withheld until settled. 2.5. All prices are quoted in [Naira (₦) / USD — specify per client] and are exclusive of third-party costs (see Clause 5). 2.6. Payments are made via bank transfer to the account details provided on the invoice. Neoeffectz does not accept liability for payments sent to unverified or unofficial accounts — always confirm account details directly with us.
3. Project Timelines
3.1. Estimated delivery timelines will be communicated at the start of the project and depend on the Client providing all required materials (content, images, logos, brand assets, login access, etc.) promptly. 3.2. Delays caused by the Client’s late delivery of materials, feedback, or approvals will extend the project timeline accordingly and are not the responsibility of Neoeffectz. 3.3. If a Client becomes unresponsive for more than 30 days after work has started, the project will be considered paused. Resuming after this period may attract a reactivation fee.
4. Revisions
4.1. Each project includes a set number of revision rounds as stated in the Scope (typically 2 rounds for design/layout changes). 4.2. Revisions requested outside the agreed rounds, or major changes in direction after design approval, will be billed as Additional Work. 4.3. Minor bug fixes reported within 14 days of handover are covered free of charge. This does not include new feature requests or content changes.
5. Third-Party Costs
5.1. Costs such as domain registration, hosting, premium WordPress themes/plugins, SSL certificates, stock images, or paid ad spend (Google Ads, Meta Ads, etc.) are not included in the project fee unless explicitly stated in the Scope. 5.2. Neoeffectz can recommend, source, and manage these on the Client’s behalf, but the Client bears the actual cost, and renewal is the Client’s responsibility going forward unless a maintenance retainer is in place.
6. Ownership and Intellectual Property
6.1. Full ownership of the final website, design files, and content transfers to the Client only after full payment (100%) is received. 6.2. Until full payment is made, all work produced (designs, code, content, strategy documents) remains the intellectual property of Neoeffectz. 6.3. Neoeffectz retains the right to showcase completed projects in its portfolio, case studies, and marketing materials, unless the Client requests confidentiality in writing. 6.4. Any third-party licensed assets (premium themes, plugins, stock photos, fonts) remain subject to their original license terms and are not resold as Neoeffectz property.
7. Client Responsibilities
7.1. The Client is responsible for the accuracy, legality, and rights ownership of all content (text, images, logos, testimonials) supplied for use on the site. 7.2. Neoeffectz is not liable for any copyright, trademark, or defamation claims arising from content supplied by the Client. 7.3. The Client is responsible for maintaining their own hosting/domain account credentials and renewal payments after handover, unless a maintenance agreement is signed.
8. Maintenance and Support
8.1. Post-launch support (bug fixes, plugin updates, backups, security monitoring) is not included by default and is offered as a separate monthly retainer. 8.2. Websites left without a maintenance plan are the Client’s responsibility to keep updated and secure; Neoeffectz is not liable for issues arising from outdated plugins, expired hosting, or third-party breaches after handover.
9. Cancellation
9.1. If the Client cancels the project after the deposit has been paid, the 60% deposit is non-refundable, as it covers work, time, and resources already committed. 9.2. If Neoeffectz is unable to deliver the project due to circumstances within our control, a partial refund will be assessed based on work completed.
10. Confidentiality
10.1. Both parties agree to keep sensitive business information (login credentials, business strategy, financial details) shared during the project confidential, both during and after the engagement.
11. Limitation of Liability
11.1. Neoeffectz’s total liability for any claim arising from the Services shall not exceed the total amount paid by the Client for the project in question. 11.2. Neoeffectz is not liable for indirect losses, including loss of profit, business opportunities, or data, arising from the use of the delivered website or services. 11.3. Neoeffectz does not guarantee specific SEO rankings, traffic numbers, or ad campaign results, as these depend on factors outside our direct control (search engine algorithm changes, market competition, budget, etc.). We commit to applying industry best practices.
12. Force Majeure
12.1. Neither party is liable for delays or failures caused by events beyond reasonable control, including power outages, internet/network failure, natural disasters, or government action.
13. Governing Law and Dispute Resolution
13.1. These Terms are governed by the laws of the Federal Republic of Nigeria. 13.2. Any disputes will first be addressed through good-faith negotiation. If unresolved within 30 days, the matter may be referred to mediation or the appropriate courts within Lagos State.
14. Amendments
14.1. Neoeffectz may update these Terms from time to time. Continued engagement after an update constitutes acceptance of the revised Terms.

By paying the deposit invoice or confirming project commencement in writing, the Client acknowledges they have read, understood, and agreed to these Terms and Conditions.
